These Terms of Service (“Terms”) cover your use of Cash Passion, including cashpassion.com, community sites on the cashpassion.com network, the Cash Passion mobile apps and related services (together, the “Service”). The Service is operated by AlphaWeb LLC, 8 Lombardy St #41161, Newark, NJ 07102 (“Cash Passion”, “we”, “us”).
By creating an account, paying a setup fee or using the Service, you agree to these Terms. If you are using the Service for a business, band, brand or other organization, you confirm you are allowed to accept these Terms for it.
1. What Cash Passion is
Cash Passion is a platform for creators, artists, shows and brands (“Creators”) to run their own paid fan community. Depending on the plan, a community can include a community site, a branded mobile app, membership levels, events and live streams, a merch store, e-commerce and membership subscriptions.
2. Accounts
You need an account to launch a community. Give us accurate information and keep it up to date. You are responsible for your login details and for activity on your account. Tell us right away through our contact page if you think your account has been accessed without permission.
You must be at least 18 years old, or the age of majority where you live, to create a Creator account.
3. Plans, setup fees and revenue share
Each plan has a one time setup fee and a revenue share. The setup fee is billed after we talk with you and confirm your plan, and paying it starts your build. Nothing is charged when you apply. The revenue share is a percentage of transactions processed through your community, such as memberships, subscriptions, merch, tickets and other sales, and only applies once your community is live and selling.
- Opener: $2,500 setup fee, 25% revenue share
- Rising: $5,000 setup fee, 20% revenue share
- Headliner: $10,000 setup fee, 10% revenue share
- Arena: $15,000 setup fee, 5% revenue share
- Legend: $20,000 setup fee, 2% revenue share
The revenue share is figured on the amount your member pays for each sale, not counting sales tax. There is no monthly platform fee on top of the setup fee and the revenue share. If you give a member a full refund, we return our revenue share on that sale. Payment processor fees, taxes and app store fees are separate unless we say otherwise in writing.
Prices may change for new purchases. Your plan keeps its revenue share rate, and we will give you at least 30 days of notice by email before any change to the revenue share on an existing community.
4. Payments and payouts
Payments are processed by our payment partner, Stripe. By paying through the Service you also agree to the payment partner terms that apply to you. Sales in your community are collected through the Service, our revenue share and any fees are deducted, and the remainder is paid out to you on the schedule shown in your dashboard.
You are responsible for the prices you set, for refunds you offer your members and for any taxes that apply to your sales, unless the law or a written agreement with us says otherwise.
5. Refunds of setup fees
The setup fee pays for the planning, design and build work that goes into launching your community. We want you to feel good about paying it, so refunds work like this:
- Change your mind early. If you ask within 14 days of paying and we have not started your build (no kickoff call held and no design work delivered), you get a full refund.
- Before launch. After work has started and before your community launches, you can cancel and get back the part of the setup fee for work not yet done. We keep 25% after the kickoff call, 50% after your design is delivered and 75% once your community is built and ready for your review. The rest is refunded.
- After launch. Once your community is live, the setup fee is not refundable, because the work it paid for has been delivered.
- If we cannot deliver. If we are unable to launch your community for reasons on our side, you get a full refund of the setup fee.
If a build is waiting on you (for example content, approvals or logins) and we do not hear back for 60 days after reminders, we may close the project and refund the setup fee based on the stages above. To ask for a refund, reach us through our contact page. Approved refunds go back to the original payment method, usually within 10 business days.
6. Chargebacks and disputes
If something is wrong with a charge, please contact us first. Most problems can be fixed quickly without a dispute. If you file a chargeback on a setup fee, we may pause work on your community while the dispute is open.
When a member disputes a sale in your community, the disputed amount and the processor dispute fee are taken from your payouts while the dispute is open. We share the details with you and help you send evidence. If the dispute is decided in your favor, the amount is returned to your balance.
7. Your content and your community
You keep ownership of the content you and your members post. You give us a license to host, store, display, copy and distribute that content only as needed to run, promote and improve the Service.
You are responsible for your community, including the content you post, the products you sell and how you treat your members. You confirm you have the rights to everything you upload, including music, video, images, logos and trademarks.
8. Acceptable use
You agree not to use the Service to:
- break any law or anyone else’s rights, including copyright, trademark and privacy rights
- post or sell anything illegal, hateful, harassing or sexually exploitative, or anything involving minors in any sexual way
- mislead members about who runs a community or what they are paying for
- send spam or try to get into accounts, systems or data you are not allowed to access
- interfere with or overload the Service
We may remove content or suspend a community that breaks these Terms, and we will tell you why when we reasonably can.
9. Members of a community
If you join a community as a member, the Creator runs that community and sets its prices, levels and rules. These Terms still apply to your use of the Service. Questions about a membership, an order or a refund should go to the Creator first.
10. Cancelling and ending your account
You can cancel your Creator account at any time through our contact page. There is no cancellation fee and no long term contract. When you cancel, new sales stop, member subscriptions in your community are cancelled so members are not billed again, and the revenue share ends with your last sale. We pay out any balance owed to you after refunds, chargebacks and fees, and you have 30 days to ask for an export of your community content and member list.
Members can cancel a membership at any time from their account. A cancelled membership stays active until the end of the period already paid for.
We may suspend or end an account that breaks these Terms or puts members, other Creators or the Service at risk. Unless the problem is serious or the law prevents it, we will tell you first and give you a chance to fix it.
11. Disclaimers
We work hard to keep the Service running and secure, but it is provided “as is” and “as available”. We do not promise any level of sales, members or income. Any earnings shown on our site are examples only, not a forecast or a promise.
12. Limitation of liability
To the extent the law allows, AlphaWeb LLC will not be liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim about the Service is limited to the fees you paid us in the 12 months before the claim.
13. Changes to these Terms
We may update these Terms. If a change is important, we will tell you by email or in your dashboard before it takes effect. Using the Service after a change means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law rules. Any dispute about these Terms or the Service will be heard in the state or federal courts located in New Jersey, and you and AlphaWeb LLC agree to that venue.
